Overlord Labs raised an oversubscribed $4.35M seed extension, led by Band of Angels, to advance its GENESIS battery intelligence chip from working silicon into customer sampling and toward 2027 volume production for edge AI devices.
Overlord Labs closed an oversubscribed $4.35 million Seed extension, bringing its total capital to $10 million. This comprises $7.25 million in Seed equity financing and $2.75 million in non dilutive strategic development funding. The round was led by Band of Angels, with participation from Foothill Ventures, Unlock Pacific Ventures, NuFund Venture Group, Sand Hill Angels, and Castle Fund. Returning strategic angel investors from earlier financings also increased their commitments.
What is Overlord Labs?
Overlord Labs is a San Jose-based fabless semiconductor company founded around 2024–2025. It develops battery intelligence infrastructure for compute intensive, battery powered devices. Its proprietary Silicon × Algorithm Architecture embeds advanced battery sensing, physics based modeling, and control directly into silicon, rather than relying on traditional fixed function battery management system (BMS) ICs.

The flagship product is the GENESIS™ Battery Intelligence IC (also referred to with associated elements like OverMind™ for modeling, OverWatch™ for control, and programmable RISC-V elements). It targets single cell systems and supports both established and emerging battery chemistries, including silicon anode cells. Key capabilities highlighted include high resolution sensing, on-chip estimation of electrochemical state, real time control of charging/protection/power delivery, customizable firmware, embedded security, telemetry, and integration suited for OEM stacks.
Initial applications focus on smart glasses, wearables, hearables, and other edge AI devices, where rising on-device compute, sensors, and connectivity create severe constraints on battery life, thermal management, safety, form factor, and performance. The architecture aims to give OEMs more adaptable, software defined control to optimize across these trade-offs.
Leadership includes Co-Founder and CEO Richard Nicholson (with prior experience in battery charger and semiconductor engineering roles, including at Fairchild Semiconductor and other firms) and Co-Founder and COO Carlos Rodriguez. The technical team draws from backgrounds at Texas Instruments, Apple, Microsoft, Fairchild/ON Semiconductor, and related battery/semiconductor domains. Board additions earlier in 2026 include the Hon. Robert M. Speer and David Heacock, former Senior Vice President of Analog at Texas Instruments with deep battery management experience.
How will Overlord Labs use the funds?
The financing coincides with the successful tape-out and bring-up of the first GENESIS silicon, marking the transition from development to product validation and customer sampling. The company is engaging Tier-1 OEMs and has indicated early partner activity around simulation, FPGA prototyping, and firmware collaboration.

Capital will support:
- Completion of validation and qualification.
- Customer sampling and Tier-1 OEM engagements.
- Expansion of firmware and battery algorithm capabilities.
- Building production infrastructure for commercial scale.
Volume production is targeted for the first half of 2027.
The raise reflects investor interest in rethinking battery management as active, intelligent infrastructure rather than passive protection circuitry. As AI workloads move to the edge in highly constrained form factors, conventional BMS approaches face limitations in adaptability, precision under dynamic loads, support for new chemistries, and integration with programmable systems. Overlord’s silicon-up approach (combining precision analog, on-chip compute, physics based models, and OEM programmable firmware) positions it as a potential enabler for higher performance, longer runtime, better thermal behavior, and safer operation in next generation devices.
The oversubscribed nature of the extension, participation of specialized angel groups and VCs with hardware/deep tech focus, and reinvestment by prior angels signal confidence in the team’s execution (working silicon in a relatively short time from founding) and the market opportunity. The inclusion of non dilutive strategic development funding further strengthens the capital structure without additional equity dilution. Board appointments add domain depth and governance experience relevant to both commercial and potentially dual use applications.
The $4.35 million extension provides runway to move GENESIS from operational silicon through customer validation toward volume production, while validating the thesis that battery intelligence must be co-designed into the silicon foundation of edge AI hardware.
